Unlike Patents/Trademarks: Trade secrets are NOT registered. Protection comes from keeping it secret.

Why Secret instead of Patent?
- Patent = Public disclosure. After 20 years, anyone can copy.
- Trade Secret = Can last forever (if kept secret).
Requirements for Trade Secret Protection ð
For information to be a trade secret:
- Commercial Value: Must give business advantage.
- Secret: Not generally known to public.
- Reasonable Steps taken to keep it secret (NDAs, restricted access).
Example:
- Your client list = Trade secret (if valuable and kept confidential).
- Your website URL = NOT a trade secret (public knowledge).

How to protect trade secrets?
- Non-Disclosure Agreements (NDAs): Employees/partners sign contracts to not reveal secrets.
- Restricted Access: Lock files, password-protect, "Need to know" basis.
- Exit Protocols: When employees leave, remind them of confidentiality obligations.
- Mark as Confidential: Label documents clearly.
