Negotiable Instruments - Meaning & Characteristics ✍️

Act: Negotiable Instruments Act, 1881.

Definition: A Negotiable Instrument (NI) is a document guaranteeing the payment of a specific amount of money, either on demand or at a set time, with the payer usually named on the document.

"Negotiable" = Transferable (can be passed from one person to another). "Instrument" = Written Document.

Simple Meaning: A piece of paper that is as good as money and can be transferred freely.

Examples: Cheques, Promissory Notes, Bills of Exchange.


Characteristics of Negotiable Instruments 🌟

1. Freely Transferable 🔄

  • Property in the instrument can be transferred by delivery (if bearer) or by endorsement and delivery (if order).
  • No need for separate registration or complex process.

2. Title of Holder in Due Course 👑

  • Golden Rule: The person who receives it in good faith (Holder in Due Course) gets a Better Title than the transferor.
  • Meaning: Even if I stole a cheque and gave it to you (and you didn't know it was stolen), YOU become the legal owner. The defect in my title does not affect you.

3. Right to Sue ⚖️

  • The holder can sue in his own name to recover the amount.

4. Presumptions (Section 118) 📜

Unless proved otherwise, court presumes:

  • Consideration: It was drawn for valid consideration (not a gift).
  • Date: It was drawn on the date written on it.
  • Time of Acceptance: It was accepted within reasonable time.
  • Order of Endorsements: Endorsements were made in the order they appear.

Types of Instruments 📋

1. Bearer Instrument 🐻

  • Payable to "Bearer" (anyone who holds it).
  • Transferred by mere delivery (handing over).
  • Risk: If lost, finder becomes owner!

2. Order Instrument 👤

  • Payable to "Specific Person or Order".
  • Transferred by Endorsement (Signing on back) + Delivery.
  • Safer: Needs signature to transfer.
